Terms of Service

Welcome to Flowposal! These terms of service ("Terms") govern your access to and use of the Flowposal website, Chrome Extension, and services (collectively, the "Service"). Please read them carefully.

1. Acceptance of Terms

By creating an account, accessing, or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms. If you do not agree to these Terms, you may not use the Service.

We may modify these Terms at any time. If a change is material, we will notify you by email or by posting a notice on our site before the changes take effect. By continuing to use the Service after changes become effective, you agree to be bound by the revised Terms.

2. Use of the Service

2.1. Eligibility:

You must be at least 13 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are of legal age to form a binding contract.

2.2. Your Account:

You are responsible for safeguarding your account and for all activities that occur under it. You must provide accurate and complete information and keep your account information updated. Do not share your account credentials. You must notify us immediately of any unauthorized use of your account.

2.3. Acceptable Use:

You agree not to misuse the Service. For example, you must not:

  • Use the Service for any illegal or unauthorized purpose.
  • Probe, scan, or test the vulnerability of any system or network.
  • Breach or otherwise circumvent any security or authentication measures.
  • Scrape the Service or data from the Service without our express prior written consent.
  • Interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services.
  • Post or transmit any content that is unlawful, fraudulent, defamatory, obscene, or otherwise objectionable.

3. Subscriptions & Payment

3.1. Paid Services:

We offer both free and paid subscriptions. If you choose a paid subscription, you agree to pay the fees ("Fees") for the term of service you select.

3.2. Billing:

We use a third-party payment processor, Stripe, to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of Stripe in addition to these Terms. We do not store your full credit card information.

3.3. Automatic Renewal:

Paid subscriptions will automatically renew for the same subscription period unless you cancel your subscription through your account settings before the end of the current billing cycle.

3.4. Cancellations & Refunds:

You may cancel your subscription at any time. The cancellation will take effect at the end of your current billing period, and you will have access to the paid features until then. Fees are non-refundable except as required by law or as decided by us in our sole discretion.

3.5. Fee Changes:

We may change the Fees for the paid services at any time. We will provide you with reasonable prior notice of any change in Fees to give you an opportunity to cancel your subscription before the change becomes effective.

4. Your Content & Our License

4.1. You Own Your Content:

When you use our Service, you provide us with content like your resume, job descriptions, and the proposals generated by the AI (collectively, "Your Content"). You retain full ownership of Your Content. We don't claim any ownership of it. These Terms do not grant us any rights to Your Content except for the limited rights needed to run the Service.

4.2. Limited License to Us:

To operate and improve the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, modify, and process Your Content. This license is solely for the purpose of providing the Service to you. For example, we need to be able to process your resume and a job description to send it to our AI provider (Google's Gemini API) to generate a proposal for you. This license ends when you delete Your Content or your account, except to the extent necessary for us to comply with legal obligations or maintain our service integrity.

5. Flowposal's Intellectual Property

The Service is protected by copyright, trademark, and other U.S. and foreign laws. These Terms do not grant you any right, title, or interest in the Service, our trademarks, logos, or other brand features.

6. Disclaimers & Limitation of Liability

6.1. "As Is" Service:

The Service is provided "as is" and "as available," without any warranties of any kind, express or implied. Flowposal does not warrant that the proposals generated by the Service will result in you winning jobs or that the Service will be uninterrupted, secure, or free from errors.

6.2. Limitation of Liability:

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FLOWPOSAL, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, USE OR CONTENT) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

7. Termination

You are free to stop using our Service at any time. We also reserve the right to suspend or terminate your access to the Service with notice to you if:

  • you are in breach of these Terms, or
  • you are using the Service in a manner that would cause a real risk of harm or loss to us or other users.

8. Governing Law

These Terms shall be governed by the laws of the State of Washington, without regard to its conflict of laws provisions. You agree to submit to the exclusive jurisdiction of the courts located in King County, Washington, for the resolution of any disputes.

9. Miscellaneous

These Terms constitute the entire agreement between you and Flowposal with respect to the subject matter of these Terms, and supersede and replace any other prior or contemporaneous agreements. If a provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
